Bidding and Purchase Terms

Accepted at the point of the first bid or purchase and incorporated into each transaction.
1. Transaction types
These terms apply to live or proxy auction bids, fixed-price purchases, purchase requests, Make Offer transactions, Drive Now inventory and other vehicle acquisitions arranged through Automami. The transaction screen will identify the vehicle, transaction type, bid ceiling or price, funding requirement, material disclosed fees, and applicable deadline.
2. Your instruction and when it becomes binding
By confirming a bid or purchase, you authorize Automami to transmit the instruction and, if successful or accepted, to commit funds and complete the acquisition and related services on your behalf. Before transmission or purchase commitment, you may withdraw an instruction through the available written channel. Once Automami or its sourcing partner has transmitted a live auction bid that cannot be withdrawn, the instruction is binding. Once the auction is won for you, the vehicle purchase is final, cannot be cancelled, and is non-refundable, except where a non-excludable right under applicable law expressly requires otherwise.
3. Funding
The deposit or prefunding percentage is the amount displayed for the specific transaction. A deposit may establish bidding eligibility but does not require Automami to execute a bid unless all displayed funding conditions are satisfied. Automami may require full funding of the maximum bid plus estimated auction, platform, procurement, transport, shipping, insurance, customs, clearing, tax and other disclosed costs before transmitting the live bid. Insufficient, late, reversed or uncleared funding may prevent execution without liability to Automami.
4. Auction and supplier limitations
- A submitted instruction is not a guarantee that a bid will reach the auction house in time or that the vehicle will be won.
- The auction house or supplier may reject, cancel, reopen, condition or reverse a sale under its rules.
- Daily or periodic inventory feeds may be stale; availability, price, specification and seller acceptance remain subject to final confirmation.
- Automami may decline to transmit an instruction that appears erroneous, unlawful, underfunded, technically impossible or inconsistent with auction rules.
5. Vehicle information and inspection
Used, salvage, auction and imported vehicles may have visible or hidden damage, missing parts, prior repairs, title or mileage issues, warning lights, flood or fire exposure, mechanical or electrical defects, battery degradation, software restrictions, unavailable keys or incomplete documentation. Photos, condition reports, history data, translations and AI summaries are informational and are not a substitute for an inspection. Where inspection is available, you should order it before making a binding commitment. Any express warranty or return right must appear in the specific transaction documents.
6. Landed-cost estimates and variations
Landed cost is an estimate unless expressly labelled fixed. Actual costs may change because of exchange rates, auction fees, inland transport, shipping, insurance, customs valuation, duties, levies, port charges, storage, demurrage, clearing, regulatory action and vehicle-specific circumstances. We will provide reasonable supporting detail for material adjustments and seek additional funding where required. We will not use this clause to impose an undisclosed discretionary fee.
7. Customer default
If you fail to provide required funds after a binding commitment, Automami may suspend your account, stop non-essential work, charge reasonable documented costs caused by the default, and resell or otherwise dispose of the vehicle where lawful and commercially reasonable. Any deposit deduction or non-performance charge must reflect the disclosed terms and reasonable loss or cost, must not constitute an unlawful penalty, and must account for net resale proceeds or avoided costs. We will provide a transaction statement.
8. Title, delivery and risk
The transaction documents will state when title and risk pass. Estimated shipping, clearing and delivery dates are not guaranteed. You must timely provide documents and pay amounts required for import, customs, registration and delivery. Automami is not responsible for delay outside its reasonable control but will provide reasonable status information and assistance with claims against responsible service providers.
9. Final auction sales, relisting and refunds
Before a binding commitment, you may request cancellation and refund under the Wallet, Escrow and Refund Terms. Once an auction has been won for you, the purchase is final and non-refundable. At your written request, RCBA may, in its discretion and without guaranteeing a buyer, relist or otherwise offer the vehicle for resale. Relisting does not cancel the original purchase, reverse your payment obligation, or require RCBA to advance a refund.
A refund arising from relisting becomes eligible only after the vehicle has been successfully resold, the resale transaction has completed, and RCBA has received cleared and irreversible resale proceeds. The refundable amount will be the net resale proceeds actually received, after reasonable and documented auction, platform, transport, storage, repair, marketing, banking, tax, resale and other transaction costs, capped at the amount otherwise refundable to you. Any shortfall remains your loss and responsibility; any treatment of proceeds above that amount will be stated in the resale authorization. Payment remains subject to the written request, identity, KYC/AML, originating-account and other procedures in the Wallet, Escrow and Refund Terms. Nothing here removes a non-excludable statutory right.
