Automami User Agreement

This User Agreement is a contract between the person or organization creating or using an Automami account ("you" or "User") and RC Brown Automotive Limited ("RCBA", "Automami", "we", "us" or "our"). Automami.com and related applications and services are referred to as the "Platform".

1. Eligibility and account types

You must be at least 18 years old and legally capable of entering contracts. You may register as an individual buyer or as a dealer/business user. If you act for an organization, you represent that you have authority to bind it. We may require identity, address, corporate, beneficial-ownership, source-of-funds or other verification before enabling features.

You must provide accurate, current information; protect your credentials and verification codes; and notify us promptly of suspected unauthorized use. Activity performed through your account is treated as authorized unless you promptly report compromise and reasonably establish otherwise.

2. What Automami provides

Automami is a vehicle marketplace, sourcing, procurement, auction-support, payment-coordination and import-service platform. Depending on the listing, RCBA may act as seller, disclosed procurement agent, importer, facilitator, or service provider. RC Brown Capital, Inc. and other affiliates may support international sourcing and settlement, but RCBA remains the Nigerian customer-facing contracting entity unless a transaction document expressly states otherwise.

Vehicles may be sourced from auctions, dealers, exporters, manufacturers, aggregators and other third parties. A listing is an invitation to transact, not a guarantee of availability, ownership, final price or acceptance. Supplier data, translations, classifications, auction history, vehicle history, landed-cost calculations and AI-assisted summaries may be incomplete, delayed or erroneous. We will correct material errors that we discover and will not knowingly misrepresent a vehicle.

3. Platform use

You may use the Platform only for lawful vehicle research, bidding, purchasing and related services. You must not:

  • impersonate another person, create false accounts or submit false KYC or payment information;
  • manipulate bids, collude, interfere with auctions, scrape the Platform at scale, bypass access controls, or reverse engineer protected systems;
  • use proceeds of crime, sanctioned funds, third-party funds whose beneficial owner is undisclosed, or a payment account you are not authorized to use;
  • copy, republish or commercially exploit supplier listings, platform data, calculations or content except as expressly permitted; or
  • use the Platform to violate import, customs, sanctions, anti-money-laundering, tax, consumer-protection or other applicable laws.

4. Identity, compliance and payment checks

We may screen Users, payments, vehicles, counterparties and transactions; request supporting documents; delay action while checks are completed; reject or return funds; restrict an account; or make legally required reports. You authorize reasonable verification with banks, payment providers, identity providers, regulators and public or commercial data sources. A compliance hold is not acceptance of a bid or purchase instruction.

5. Prices, estimates and charges

Displayed amounts may include or estimate vehicle price, auction fees, platform or procurement fees, inland transport, export handling, shipping, insurance, foreign exchange, banking, customs, clearing, taxes, storage, inspection, repair, delivery and other stated costs. Estimates may change because of exchange rates, supplier changes, port or shipping charges, customs valuation, storage, demurrage, regulatory action or other external events. Before a binding instruction, we will display or communicate the then-current required funding and material charges. No undisclosed fee is payable merely because it appears in an internal calculation.

6. Communications and electronic records

You consent to receive account, security, transaction and service communications electronically through the Platform, email, SMS, WhatsApp or other contact details you provide. Transactional communications are not marketing and may continue while your account or a transaction remains active. Electronic checkboxes, verification codes, clicks, timestamps and account actions constitute your electronic acceptance and may be retained as evidence.

7. Intellectual property

Automami and its licensors own the Platform, branding, software, layout, original content, derived calculations and compilations. Suppliers retain rights in their original listing or API data. We grant you a limited, revocable, non-transferable right to use the Platform for your own lawful transactions. You retain ownership of content you submit but grant us a limited licence to host, process, reproduce and share it as necessary to operate, document and support the service.

8. Suspension and closure

We may restrict or suspend an account where reasonably necessary for security, suspected fraud, compliance, non-payment, abusive conduct, legal requirements or material breach. Where practicable, we will provide notice and an opportunity to cure. Account closure does not cancel a bid already transmitted, a purchase already made, an accrued charge, a compliance review or record-retention duty.

9. Complaints

Submit complaints through the Platform support channels with the relevant transaction reference and supporting evidence. We will acknowledge and investigate them within a reasonable period. You may also exercise rights or make complaints to an applicable regulator, including the Federal Competition and Consumer Protection Commission or Nigeria Data Protection Commission.

10. Liability and statutory rights

We are responsible for direct loss caused by our fraud, wilful misconduct, gross negligence or breach of a non-excludable statutory duty. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, lost resale profit, or delay or failure caused by an auction house, supplier, carrier, port, customs authority, payment system, telecommunications failure or force-majeure event outside our reasonable control. Any contractual cap will not apply where prohibited by law.

Nothing in this Agreement excludes rights under the Federal Competition and Consumer Protection Act or any other mandatory law. Any vehicle-specific limitation, condition description, return restriction or cancellation charge must be clear, reasonable and legally permissible.

11. Governing law and disputes

Nigerian law governs this Agreement. The parties will first attempt in good faith to resolve a dispute through written complaint and management review. If unresolved, either party may pursue mediation or proceedings before a court of competent jurisdiction in Lagos State, without restricting a consumer's right to approach a regulator or another forum that mandatory law permits.

12. Changes and general terms

We may update these terms prospectively. Material changes will be notified through the Platform or your registered contact and will not retroactively change a completed transaction without your agreement, except where required by law. If any term is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a term is not a waiver. You may not transfer your account or rights without our consent; we may assign this Agreement within the RC Brown group or as part of a lawful business transfer, subject to applicable notice and data-protection requirements.
