Dealer and Business User Addendum

Applies only when an account is registered or used as a dealer, reseller or other business purchaser. This Addendum supplements the User Agreement. If there is a conflict concerning a dealer transaction, this Addendum controls, except that mandatory consumer rights continue to apply where the transaction legally qualifies as a consumer transaction.
1. Business authority and verification
You represent that the registered business is validly existing, that the account operator is authorized, and that all beneficial-ownership, dealership, resale, tax and licensing information supplied is accurate. You will promptly notify Automami of changes in ownership, control, authority or licensing.
2. Commercial purpose
Dealer accounts are intended principally for commercial acquisition, resale, fleet or trade activity. You are responsible for your resale pricing, advertising, consumer disclosures, taxes, registration, warranties and after-sales obligations. You must not represent that Automami guarantees your resale, profit, financing or customer obligations.
3. Customer and third-party funds
You may not use undisclosed third-party or customer funds. Where Automami permits payment for a disclosed customer transaction, you must provide requested beneficial-owner, source-of-funds and authority evidence. Refunds remain limited to the verified originating account and account holder.
4. Vehicle and listing data
You may use transaction-specific vehicle information to evaluate or lawfully resell a vehicle you acquire. You may not bulk extract, republish, syndicate or create a competing database from Automami or supplier data without written permission. You must preserve material condition, title, mileage and damage disclosures when advertising a vehicle to your customer.
5. Dealer personnel
You are responsible for users you authorize under your business account. Automami may require role-based permissions or separate accounts. You must promptly remove access for personnel who leave or lose authority.
6. Taxes and compliance
You are responsible for taxes, licences, permits, records and regulatory obligations applicable to your business and resale activities. You must comply with anti-bribery, AML/CTF, sanctions, customs, consumer-protection and data-protection laws.
7. No circumvention or misuse
You must not misuse confidential sourcing information, interfere with Automami supplier relationships, divert an Automami-introduced transaction by deception, manipulate auctions or use the Platform to coordinate anti-competitive conduct. This does not prevent legitimate independent dealings that do not misuse confidential information or breach a specific written commitment.
8. Commercial remedies
Automami may suspend dealer privileges for material breach, repeated non-payment, fraud or regulatory risk. Any indemnity applies only to third-party claims and reasonable costs arising from the dealer's unlawful resale conduct, false representation, unauthorized account use or material breach, and will be reduced to the extent Automami caused the loss.
